Ashley Gardens Freehold Limited (AGFL) is the freehold and leasehold owner of 149 mansion flats in central London, near Victoria Station.  The shareholders of AGFL are the owners of the flats. The Board, with the assistance of an estate manager, a professional managing agent, and outside accountants, oversees the governance and operation of the company.

The expectation is that the Company Secretary role involves one day a week of work.

The principal responsibilities of the AGFL Company Secretary are as follows:

  • Secretary to the AGFL Board, including:
    • Minute taking – six regular plus ad hoc meetings
    • Agenda preparation
    • Distribution of Board materials
    • AGM notice and related duties
  • Companies House Relationship, including:
    • Filing company return
    • Filing annual account
    • Filing annual declaration of directors
    • Includes AGFL, other AGFL entities, and several dormant companies
  • Real Estate Responsibilities, including:
    • Dealing with applications for licences to assign on the sale of a flat and completing the license; answering the seller’s Landlord Enquiries;
    • Dealing with and completing applications for licences to sublet;
    • Preparing licenses to make alterations to a flat;
  • Assistance with Bookkeeping, including:
    • Maintaining a cash account spreadsheet
    • Notifying tenant/shareholders of maintenance arrears
