A top tier global law firm is looking for an experienced Company Secretary to join and manage their Company Secretarial team, working with their clients to establish companies within the DIFC and Abu Dhabi Regions and helping them establish other offshore entities. They are looking for someone who has strong experience in setting up corporations as well as shown previous leadership responsibilities.

The Role:

  • To manage the company secretarial team (which sits within the firm's Corporate Services Department).
  • To implement the firm's strategic plans for company secretarial services.
  • To provide registered agent services to offshore companies registered in the Jebel Ali Free Zone (the JAFZ) and the Ras Al Khaimah International Corporate Centre (the RAKICC), corporate service provider support to SPVs in the Abu Dhabi Global Market (ADGM), and intermediary registered agent services to companies incorporated in the British Virgin Islands (the BVI) and the Cayman Islands.
  • To establish/implement systems, polices and precedents to ensure high standards of corporate governance and the delivery of company secretarial services to our clients.

The Team:

The Corporate Services department provides corporate services and government liaison services to the business and clients directly across the region.

Our Company Secretarial team is the Registered Agent for approximately 300 offshore companies in Jebel Ali Free Zone, Abu Dhabi Global Market (ADGM), Ras Al Khaimah, BVI, and Cayman Islands amongst others. Their services include annual compliance and renewal, board meeting assistance, the legalisation of documents, incorporations, transacting corporate changes, creating and standardising precedents and services, commencing health checks of all types of entities and renewing trade licenses for FZCo/FZE and onshore entities.

Key responsibilities:

  • Managing company secretarial team members on a day-to-day basis.
  • Contributing to the development of, and being responsible for, implementing the firm's strategic plans for company secretarial services.
  • Establishing offshore companies in the BVI, Cayman Islands, JAFZ or RAKICC.
  • Establishing companies in the ADGM and the Dubai International Financial Centre (the DIFC).
  • Advising on and assisting with change of name, directors, general manager, activities, and share transfers, and registration of pledges, mortgages, etc for offshore companies and ADGM and DICF companies.
  • Overseeing and advising on the preparation of case registration forms, conducting conflict searches, collating and submitting the necessary 'KYC' documents to Business Acceptance (BAU), updating BAU with any material changes of existing clients, and liaising with BAU for file opening and closing.
  • Maintaining statutory records, including registers of members, directors and secretaries for offshore and ADGM and DIFC companies.
  • Assisting with annual licence and registration renewals for offshore and ADGM and DIFC companies.
  • Maintaining current awareness of relevant companies acts and governing regulations and taking appropriate action, advising on filing requirements and compliance with applicable laws and regulations.
  • Drafting and maintaining template precedents such as resolutions, powers of attorney, memorandum and articles of association, share transfer documents, request letters, invoice letters, etc associated with offshore, ADGM and DIFC companies.
  • Preparing and updating guidance notes on relevant procedures and processes.
  • Preparing agendas and notices and taking minutes of board meetings and annual general meetings.

Candidate Requirements:

The ideal candidate will:

  • Be ICSA qualified (via Chartered Governance Institute UK & Ireland) or offer another similar professional company secretarial qualification;
  • Be educated to degree level;
  • Have at least six years company secretarial administration experience with knowledge of offshore systems and procedures;
  • Have BluePrint, Oneworld or Viewpoint experience;
  • Have good communication and interpersonal skills;
  • Be team oriented and able to work autonomously whilst being adaptable and flexible;
  • Have team management experience;
