A global Private Equity firm are looking for an experienced Corporate Secretary for their Asia business. Based in Singapore, this successful candidate will be responsible for regional legal entity lifecycle management and governance, entity database management, corporate records maintenance, making applicable regulatory filings, and supporting strategic transactional work. The successful candidate will report directly into the Chief Compliance Officer and work alongside their Americas and EMEA Corporate Secretaries. Please note this firm is regulated by MAS.

Responsibilities:

  • Performing corporate secretarial functions including coordinating subsidiary board meetings, drafting and/or reviewing by-laws, articles, operating agreements, partnership agreements, capitalisation tables, stock registers/transfer documentation, minutes, resolutions, secretarial certifications and other corporate actions and administrative responsibilities;
  • Managing the formation/acquisition, registration, ongoing maintenance and disposition of new and existing legal entities (corporations, limited companies, limited liability companies, partnerships, trusts and other forms of legal entity) and investments;
  • Organising and preparing agendas and papers for board meetings, committees and annual general meetings; taking minutes, lodging required forms, annual returns and other correspondence with Regional Company Registrars (including liaising with service providers);
  • Maintaining statutory registers or books including registers;
  • Ensuring corporate minute books, corporate seals, chops, etc., are maintained in proper order and in compliance with local law;
  • Overseeing, working with, and coordinating with local CoSec vendors where needed;
  • Providing transactional support for mergers, dissolutions, acquisitions, investments, contributions, dividends, asset sales and other corporate transactions;
  • Liaising with teams in different jurisdictions;
  • Database/document management and ensuring the integrity of data maintained in I Squared Capital's system of record for legal entity information. Coordinating resolution where substantial expertise is required to analyse relevant law, regulations, policies and guidelines;
  • Providing oversight for, training and/or mentoring less experienced paralegals and support staff when necessary;
  • Facilitate required apostilles, notarisations, consularisations and legalisation of documents;
  • Acting as Corporate Secretary for some portfolio companies, which includes recording minutes, scheduling board meetings, drafting and circulating agendas, and drafting board resolutions;
  • Assisting portfolio company legal departments with various requests (e.g., issuance of powers of attorney and affidavits);
  • Archiving closing legal documents from company acquisitions, noting reporting requirements;
  • Maintaining and updating internal structure charts;
  • Responding to and facilitating completion of KYC requests for both the business and portfolio companies;
  • Coordinating with Deal teams and Tax in the formation of holding/acquisition entity structures;
  • Coordinating with Tax and Accounts Payable team to ensure that annual tax and vendor payments are made in various jurisdictions, as applicable;
  • Other projects as requested by Compliance or Legal

Desired Experience and qualifications.

  • Experience of working in a Private Equity or Investment Management firm
  • Technical secretarial qualifications (ICSA/HKICS or equivalent secretarial qualifications)
  • Experience with systems such as entity management (e.g. Online Entity Management software, document management (SharePoint), digital repository as well as legal entity screening and process workflow tools)
  • Experience of working within a global corporate group
  • Knowledge of statutory requirements of managing companies in Singapore
  • Experience working in a business regulated by MAS and an understanding around the fillings that need to be made
  • Experience of using third party CoSec providers such as Tricor
