Job Details

The Associate Division Counsel will support the Regional Division Counsel, who has the responsibility for all legal matters in the following regions: UK, Ireland, Nordics, Israel & South Africa. Support may additionally be required in other regions.

The company offers a fast-paced working environment, with a focus on a cohesive team culture. Ownership and responsibility of your own caseload (with support from line management) is highly encouraged. Our office is based in Swindon, however there is only a requirement to be in the office 1 day a week. Some global travel may be required as part of the role.

Responsibilities:

  • Assisting the Regional Division Counsel to draft, revise and negotiate software licence agreements, SaaS agreements, sale agreements, services and maintenance agreements, framework agreements, reseller/partnership/distribution agreements, sub-contractor agreements, non-disclosure agreements and other agreements related to the provision of software and services.
  • Assisting with reviewing and advising on tender documents, project proposals and statements of work, advising project teams on the interpretation of contracts, and resolving disputes.
  • Assisting with the updating of standard terms and conditions and other templates and maintaining document management systems.
  • Assisting the Regional Division Counsel to develop and implement legal and compliance training for stakeholders.
  • Ensuring customer contracts comply with corporate and divisional policies and maintaining acceptable risk standards.
  • Building strong relationships with internal stakeholders, customers, vendors, and/or service providers to expedite contract negotiations.
  • Staying up to date with legal and industry developments.
  • Assisting with, and engaging with external counsel on, corporate, employment and property matters for regional entities.
  • Assisting with maintenance and renewals of company insurance.

Qualifications:

  • Qualified solicitor/attorney specialising in commercial law (preferably under the laws of England and Wales) with 2-4 years post qualification experience. However, applications from any level of post qualification experience will be considered.
  • Strong in-house commercial experience within the technology industry.
  • Strong written and oral skills in English.
  • Demonstrated experience in interpreting complex regional and global contracts.
  • Ability to produce consistently high-quality work with a strong attention to detail.
  • Excellent time management and administration skills, with the ability to multi-task and prioritise.
  • Strong PC skills, including MS Outlook, Word, Excel and Powerpoint.
  • Ability to communicate effectively with internal and external stakeholders at various levels, including sales representatives, project and support managers, suppliers and senior management.
  • Capable of working efficiently under pressure.
  • Commercial, solution-oriented, enthusiastic and driven.
  • Ability to work in a fast-paced environment, manage multiple tasks effectively and meet deadlines.
  • Self-sufficient and proactive with strong business acumen.
